Terms of Service
These Terms of Service (“Terms”) govern your access to and use of MixPal (the “Service”), including any websites, applications, and related features offered by us in connection with MixPal. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
MixPal helps you explore mix-related notes and suggestions using software and, where applicable, third-party model providers. Output may be inaccurate, incomplete, or unsuitable for your goals. The Service is intended as a creative workflow aid, not as a substitute for professional audio engineering, production, legal, or other professional judgment.
2. Eligibility & accounts
You must provide accurate account information and safeguard your credentials and devices. You are responsible for activity that occurs under your account. We may suspend or terminate access if we reasonably believe these Terms have been violated or to protect the Service, users, or our infrastructure.
3. Subscriptions, fees, and trials
Some features may require a paid plan. Fees, billing cycles, taxes, and refunds (if any) will be presented at purchase and may change with reasonable notice where required by law. Unless stated otherwise, fees are non-refundable to the maximum extent permitted by law. If payment fails, we may suspend paid features.
4. Your content & instructions
You retain rights in the content you submit. You grant us a worldwide, non-exclusive license to host, process, transmit, display, and create derivative outputs (for example, AI-generated suggestions) solely to operate, secure, improve, and provide the Service.
You represent you have the rights needed to submit your content and that your use of the Service will not violate law or third-party rights. Do not submit unlawful content, malicious code, credentials, or sensitive information you are not permitted to share.
5. Feedback
If you provide feedback or suggestions, we may use them without obligation to you, except where prohibited by law.
6. Intellectual property
Except for your content, the Service, its branding, and associated materials are owned by us or our licensors and are protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.
7. Acceptable use
You agree not to misuse the Service. Without limitation, you must not:
- Attempt to gain unauthorized access to the Service or related systems.
- Interfere with the integrity or performance of the Service.
- Use the Service to violate law, infringe rights, or harass others.
- Scrape, automate, or overload the Service beyond normal personal use or permitted API use.
- Circumvent security, rate limits, access controls, or subscription requirements.
- Use the Service to train competing models or build a competing product without our consent.
8. Third-party services
The Service may integrate with third parties (for example, authentication, analytics, payments, or model providers). Their terms and privacy practices govern those services. We are not responsible for third-party services.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
WE DO NOT WARRANT THAT OUTPUT WILL BE ACCURATE, RELIABLE, SAFE, OR SUITABLE FOR ANY PARTICULAR USE. YOU ARE SOLELY RESPONSIBLE FOR HOW YOU USE OUTPUT, INCLUDING IN CONNECTION WITH AUDIO PROJECTS, DISTRIBUTION, OR COMMERCIAL RELEASES.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, directors, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Service, even if advised of the possibility of such damages.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM (IF ANY), OR (B) FIFTY U.S. DOLLARS (USD $50), EXCEPT WHERE PROHIBITED BY LAW.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
11. Indemnification
You will defend, indemnify, and hold harmless us and our affiliates, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your content, your use of the Service, or your breach of these Terms or applicable law.
12. Disputes; governing law
These Terms are governed by the laws of the United States and the State of Colorado, excluding conflict-of-law rules. Exclusive jurisdiction and venue for any dispute will be in the state or federal courts located in Denver County, Colorado, unless applicable law requires otherwise.
Where permitted, you waive any right to participate in class actions against us relating to the Service.
13. Changes
We may modify these Terms by posting an updated version and updating the “Last updated” date. Continued use after changes constitutes acceptance. If we make material adverse changes affecting paid subscribers, we will provide notice where legally required.
14. Suspension & termination
We may suspend or terminate access to the Service at any time with or without notice, including for conduct that we reasonably believe violates these Terms or threatens the integrity of the Service.
15. Miscellaneous
- These Terms constitute the entire agreement regarding the Service and supersede prior statements.
- Failure to enforce a provision is not a waiver.
- If a provision is unenforceable, the remainder stays in effect.
- You may not assign these Terms without our consent; we may assign them freely.
